Under direction of the Deputy General Counsel, a Corporate Counsel II performs an array of legal work, including labor and employment law and commercial contacts. A Corporate Counsel II handles moderately complex, highly sensitive and specialized matters of legal policies and procedures related to areas of specialty.

Day-to-Day Role:

  • Provide day-to-day legal counseling to business leaders and human resources on a wide range of employment-related issues, including employee relations, investigations, terminations, performance management, and compensation practices.
  • Advise on complex employment law issues across the U.S., Canada, and Mexico.
  • Develop, implement, and ensure continued compliance with employee policies and procedures to ensure legal compliance and manage workplace relationships.
  • Lead the strategy and relationship with external counsel, providing oversight to ensure tailored, business-focused legal advice.
  • Draft and review employment agreements, separation agreements, and workplace policies.
  • Monitor changes in federal, state, and local employment laws and support implementation of compliant practices.
  • Conduct legal research on current and emerging employment law issues, staying informed of changes in legislation and case law.
  • Provide training and guidance to internal stakeholders, particularly HR and business leaders, on employment law trends and risk mitigation.
  • Communicate complex legal information to non-legal colleagues in a clear and concise manner.
  • Draft, review, edit, finalize and negotiate routine transactional agreements to meet business and legal requirements. Agreements include sales/supply and distribution agreements; license agreements, professional services agreements, Software as a Service (SaaS) agreements, and statements of work (SOWs).
  • Manage contract documentation/approval flows to ensure consistency with internal processes.
  • Assist with contract disputes, including understanding the issues, researching and providing guidance on solutions, drafting settlement agreements.
  • Research and respond to general legal inquiries from the business that may relate to contract disputes, regulatory issues and new business initiatives.

Core Skills and Qualifications:
The ideal candidate must possess all of the following:

  • J.D. from an accredited law school; active bar membership in good standing in at least one U.S. jurisdiction.
  • 3+ years of relevant experience in labor and employment law, ideally a mix of law firm and in-house at a multinational company.
  • Experience in corporate transactional, contracts negotiation and/or commercial transaction experience.
  • Strong working knowledge of U.S. and international labor and employment laws (US, Canada, Mexico).
  • Demonstrated ability to lead outside counsel and confidently challenge legal advice where appropriate.
  • Hands-on experience advising HR teams and company leadership on practical legal solutions.
  • Ability to participate and collaborate in meetings with customers, vendors, attorneys, management, and other third parties with regard to negotiation of agreements and general problem solving.
  • Excellent legal research, writing, and analytical skills.
  • Working knowledge of ERISA, preferred.
  • Strong interpersonal and communication skills with the ability to explain legal concepts clearly to non-legal partners.
