Overview:

The Senior Counsel - Transactions (M&A) reports directly to the Corporate Vice President, Corporate & Securities Law, Transactions and Secretary and is responsible for leading all legal aspects of assigned merger and acquisition (M&A) transactions, both domestic and cross-border, including drafting and negotiating Merger Agreements, Stock Purchase Agreements, Non-Competes, other ancillary transaction documents and supporting venture investments.

Responsibilities also include:

  • Leading Legal Due Diligence: The Senior Counsel is responsible for orchestrating and overseeing all legal due diligence processes. This involves a thorough investigation of target companies to identify potential legal risks, liabilities, and compliance issues.

  • Strategic Coordination with Business Development: A significant aspect of the role involves close collaboration and coordination with the Company's Business Development team. This partnership is essential for aligning legal strategies with business objectives and ensuring that transaction matters are managed seamlessly across the entire enterprise. This includes participating in strategic discussions, providing legal guidance on deal structures, and facilitating communication between legal and business teams.

  • Managing External M&A Counsel: The Senior Counsel is tasked with the strategic management of external M&A counsel. This involves selecting, engaging, and overseeing multiple law firms, ensuring that legal services are delivered efficiently and effectively. This responsibility also includes coordinating the efforts of diverse legal teams to ensure a unified approach to complex transactions.

  • Simultaneous Transaction Management: A critical skill for this role is the ability to expertly manage multiple transactions concurrently. This requires exceptional organizational abilities, keen attention to detail, and the capacity to prioritize and juggle numerous high-stakes legal processes simultaneously, ensuring that all deadlines are met and legal risks are appropriately managed for each deal.

Required Qualifications & Skills:

  • Strong executive presence

  • High proficiency with technology, including Google office suite, Microsoft Office Suite applications, Adobe Acrobat, and internet search tools

  • Excellent written and oral communications skills, excellent negotiation skills, superior problem-solving ability and strong analytical skills

  • Exceptional organizational skills including managing numerous transactions and projects at once, while ensuring quality and efficiency

  • Ability to draft and negotiate complex transaction documents and contracts

  • High attention to detail

  • Ability to coordinate transaction matters with relevant business partners throughout the enterprise and manage a team of co-workers supporting the transaction

Note: This is a hybrid role based out of our Chicago Headquarters or Schaumburg office - candidate must reside in the Chicagoland area

Target Base Salary Range: $190,000 - $230,000 USD

Consistent with Motorola Solutions values and applicable law, we provide the following information to promote pay transparency and equity. Pay within this range varies and depends on job-related knowledge, skills, and experience. The actual offer will be based on the individual candidate.

Basic Requirements
  • Juris Doctorate degree and 7+ years of full-time M&A experience, including leading sophisticated M&A transactions. Large law firm experience preferred.
  • Admission to a state bar
  • Legal authorization to work in the U.S. indefinitely is required. Employer work permit sponsorship is not available for this position.
