Paralegal, Corporate Contracting

Job Overview:

RWJBarnabas Health is seeking an experienced and detail-oriented Corporate Contracting Paralegal to join our Legal Affairs team. The successful candidate will support the legal department and business units by managing the contract lifecycle, drafting and reviewing a wide variety of agreements, and ensuring compliance with legal and regulatory standards. This role is critical in supporting a high-volume, fast-paced environment within one of New Jersey's largest nonprofit healthcare systems, serving a diverse network of hospitals, medical groups, and affiliates.

Reports to:

  • The Paralegal, Corporate Contracting reports directly to the Assistant General Counsel, Contracting and Transactions

Qualifications:

Education & Experience:

  • Bachelor's degree or Paralegal Certificate from an ABA-approved program required.
  • Minimum of 5 years of relevant experience in a corporate legal department or law firm, preferably with healthcare, nonprofit, or highly regulated industry experience.
  • Familiarity with healthcare compliance issues including HIPAA, Stark Law, Anti-Kickback Statute, and CMS guidelines is highly desirable.

Skills & Abilities:

  • Strong attention to detail and organizational skills.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple priorities from multiple attorneys in a fast-paced environment.
  • High proficiency in Microsoft Office Suite - Word, Excel, PowerPoint, Outlook
  • Experience with document management systems and/or contract lifecycle management systems e.g., iManage, Contraxx, DocuSign CLM, etc.
  • Ability to exercise sound judgment, discretion, and professionalism when dealing with confidential and sensitive matters.
  • Collaborative and proactive approach.

Preferred Qualifications

  • Experience working in a large health system or complex nonprofit organization.
  • Exposure to enterprise-wide contracting practices and procedures.
  • Working knowledge of AI-enabled legal tools or experience in and/or interest in supporting digital innovation in legal workflows.

Essential Functions:

  • Review, draft, redline, and organize a broad range of contracts including but not limited to vendor agreements, purchase and service agreements, IT agreements, consulting and professional services agreements, business associate agreements, non-disclosure agreements, facility use and consulting agreements, and various amendments and statements of work.
  • Support the contract intake and approval process through the organizations contract management system, ensuring appropriate documentation and approvals are obtained.
  • Track and manage contract deadlines, renewals, and compliance requirements.
  • Liaise with internal departments e.g., Supply Chain, IT, Procurement, Compliance, Finance, Risk, and Facilities and outside counsel as needed to coordinate contract needs.
  • Conduct legal and factual research related to contracts, business transactions, and regulatory compliance.
  • Maintain organized electronic contract files and databases for accurate tracking and retrieval.
  • Support implementation of process improvements and assist in developing training materials for internal clients regarding contracting policies and procedures.
  • Assist attorneys with corporate governance, including entity filings, board resolutions, and maintenance of corporate records.
  • Draft, review and proof termination notices and other correspondence relating to contracts and corporate matters.
